EMIS is aware of communications received by certain holders of loan participation notes issued by EMIS to finance loans to ABH Ukraine Limited, referring to an alleged early redemption or repayment of certain LPNs on or around 8 May 2026.
These reports appear to relate to communications issued by intermediary banks or custodians in respect of more than one series of ABH Ukraine LPNs.
EMIS is reviewing the matter and seeking clarification from relevant parties, including noteholders, intermediary banks, custodians, clearing systems and the security trustee.
EMIS confirms that neither EMIS, as issuer, nor ABH Ukraine Limited, as borrower, has initiated, approved or instructed any early, selective, or out-of-cycle redemption or repayment of the ABH Ukraine LPNs.
No decision has been taken to redeem the relevant ABH Ukraine LPNs early, and no instruction has been issued by EMIS in accordance with the applicable contractual procedures.
The relevant ABH Ukraine LPNs form part of restructured series of notes with amended maturity dates and payment terms. EMIS will only make payments in accordance with the applicable terms and conditions of the notes and the relevant transaction documentation.
The source and basis of the reported communications remain under review. Noteholders should verify any communications or instructions relating to an early redemption, repayment or buyback of ABH Ukraine LPNs against the procedures prescribed by the relevant transaction documentation.
EMIS will continue to review the matter and will provide further information if appropriate.
